This article is the fifth in the PDAEXSEA Indonesian company registration practice series.

In this article, PDAEXSEA will introduce in detail the registered address issues that many customers are concerned about when setting up an Indonesian foreign-invested limited liability company, including the selection of the registered address and the use of virtual addresses.

1. Registration address and KBLI project address

1. The registered address is the company's main office location, which is registered in core documents such as the Business Registration Certificate (NIB), the Ministry of Justice and Human Rights AHU system and the tax card (NPWP), and affects the tax, social security jurisdiction and location license application. If it needs to be changed, the process is complicated and the cost is high.

2. The KBLI project address is used for the actual business location. A company can set up multiple project addresses due to business needs, such as chain stores.

2. The company's location selection is consistent with national land use planning and business needs

1. Light asset or service-oriented companies (such as consulting, software development and other businesses that do not require physical space) can use virtual addresses for registration.

2. In principle, companies engaged in production should be located in industrial parks in Indonesia to ensure the location for subsequent processing

3. For export-oriented companies, the ideal address should be selected in the bonded area. The registration address does not meet the land planning requirements, which is one of the common reasons for the failure of tax filing qualification application.

3. Situations where virtual addresses are not applicable

Enterprises involved in physical production, warehousing or high-risk industries need to provide actual addresses, and virtual addresses are not applicable.

Even if a virtual address is used in the initial stage, the government department may require the provision of documents proving the legality of the address in the subsequent tax and license review. The company needs to ensure the compliance of the virtual address to avoid review issues.

4. How to check whether the address is commercial land

1. Ask the landlord for the IMB building license to check whether it is a commercial address.

2. After getting the original or copy of the IMB, there will be a function of use (Fungsi Penggunaan) in the MEMUTUSKAN section. If the office and its facilities (kantor dan fasilitasnya) are written, it proves that the address meets the requirements.

If the purpose is written as residential (rumah tinggal), remember that it cannot be used as the company's registered address.
